DECISION The central government and mining industry holding PT Lnalum (Persero) will allocate 10% of PT Freeport Indonesia (PTPI) shares for the local government based on good intentions so that the Papuan people get the maximum benefit from PTFI's operational results.
"Inalum has held a meeting between the Governor of Papua and his staff with representatives from the Ministry of Finance, Ministry of BUMN, PT Danareksa (Persero), and Danton HPRP Law Office," said Inalum Corporate Communications and Government Relations Rendi A Witular through its official statement.
Rendi explained that Inalum really understands the aspirations conveyed by the governor at the meeting and will continue to work with the provincial government and Mimika Regency Government to find the best agreement.
The 1 hour meeting was dynamic and conducive. After the meeting, the Governor and his staff will review the best options for the parties. The ownership structure of the regional government currently proposed, including the structure of PT Indocopper Investama (PTH) as a special company, is a common structure and considers efficient financial, legal and taxation aspects for all shareholders, including the Papua Provincial Government and Mimika Regency Government.
PTH will become a special company that will be owned by Inalum and regional government BUMD, in accordance with the master agreement signed on January 1, 2018 between the central government, Papua Provincial Government, Mimika Regency Government, and Inalum regarding the taking of PTH divestment shares.
PTII currently has a 9.36% stake in PTFI. The company has 100% owned Freeport McMoRan since 2002. After the divestment process is completed later, 100% of PTII's shares will be owned by Inalum, before it will be used as a special company to hold regional government shares. The consideration of the use of PTII as a special company is the most efficient financial, legal and taxation mechanism.
"Changing the name of PT Indocopper Investama, will be considered by Inalum and the regional government," said Rendi.
Rendi added, Inalum will wait for an agreement between the Papua Provincial Government and Mimika Regency Government regarding the structure of share ownership in BUMD that will be jointly formed.

Alokasi 10% saham Freeport untuk Papua Didasari niat Baik
KEPUTUSAN pemerintah pusat dan holding industri pertambangan PT lnalum (persero) yang akan mengalokasikan 10% saham PT Freeport Indonesia (PTFI) untuk pemerintah daerah didasari niat baik agar masyarakat Papua mendapatkan manfaat maksimal dari hasil operasional PTFI.
“Inalum telah melakukan pertemuan antara Gubernur Papua dan jajarannya dengan perwakilan dari Kementerian Keuangan, Kementerian BUMN, PT Danareksa (persero), dan Kantor Hukum HPRP Danton,” kata Corporate Communications and Government Relations Inalum Rendi A Witular melalui keterangan resminya.
Rendi menjelaskan Inalum sangat memahami aspirasi yang disampaikan gubernur dalam pertemuan tersebut dan akan terus bekerja sama dengan pemerintah provinsi dan Pemkab Mimika untuk mencari kesepakatan yang terbaik.
Pertemuan sekitar 1 jam itu berlangsung dinamis dan kondusif. Setelah pertemuan, Gubernur dan jajarannya akan mengkaji opsi-opsi yang terbaik bagi para pihak. Struktur kepemilikan pemerintah daerah yang saat ini diusulkan, termasuk struktur PT Indocopper Investama (PTH) sebagai perseroan khusus, ialah struktur yang lazim dan mempertimbangkan aspek finansial, legal, dan perpajakan yang efisien bagi semua pemegang saham, termasuk Pemprov Papua dan Pemkab Mimika.
PTFI akan menjadi perseroan khusus yang akan dimiliki Inalum dan BUMD pemerintah daerah, sesuai dengan kesepakatan induk yang ditandatangani pada 1 Januari 2018 antara pemerintah pusat, Pemprov Papua, Pemkab Mimika, dan Inalum tentang pengambilan saham divestasi PTH.
PTFI saat ini memiliki 9,36% saham di PTFI. Perusahaan tersebut 100% dimiliki Freeport McMoRan sejak 2002. Setelah proses divestasi selesai nanti, 100% saham PTFI akan dimiliki Inalum, sebelum nantinya dijadikan perseroan khusus untuk menampung saham pemerintah daerah. Pertimbangan penggunaan PTFI sebagai perseroan khusus ialah mekanisme paling efisien secara finansial, legal, dan perpajakan.
“Penggantian nama dari PT Indocopper Investama, akan menjadi pertimbangan Inalum dan pemerintah daerah,” kata Rendi.
Rendi menambahkan, Inalum akan menunggu kesepakatan antara Pemertintah Provinsi Papua dan Pemkab Mimika mengenai struktur kepemilikan saham dalam BUMD yang akan dibentuk bersama.
