Inalum Still Waiting for Papua BUMD to be Formed



Inalum requested that the share of the Papua Provincial Government and Mimika Regency Government be in accordance with the Initial agreement



Two months passed PT Indonesia Asahan Aluminum (Inalum) took over 51.23% of PT Freeport Indonesia's shares. But the 10% allocation of the Regional Government (Pemda) has not yet been decided. This is because the Papua Regional Government (Papua Provincial Government and Mimika Regency Government) has not yet formed a Regional Owned Enterprise (BUMD) as the share manager.



In accordance with the initial agreement, from the 10% share of Freeport shares to be given by Inalum, the Provincial Government (Pemprov) of Papua gets 30% and the Regency Government (Pemkab) of Mimika gets a 70% share. Now, the information obtained by KONTAN, the Papua Provincial Government led by Lukas Enembe, requested that the portion for the Papua Provincial Government be increased.

Head of Corporate Communication lnalum, Rendi A Witular said, the establishment of BUMD was still being discussed by the Papua Provincial Government and Mimika Regency Government. Where the establishment of the BUMD became the realm of the Papua Regional Government. As a result, Inalum's management is still awaiting the results of the discussion.

"The ball is in them (the Regional Government of Papua). We are still waiting for the results of the provincial and district government negotiations regarding the establishment of BUMD," Rendy told KONTAN.

However, he was reluctant to explain in detail what points are still being discussed regarding the establishment of this BUMD. "What is clear, the portion of the shares must still be in accordance with the initial agreement," he stressed.

However, when it was confirmed related to the establishment of BUMD and related to the demand for rising share, Papua Governor Lukas Enembe was reluctant to answer.

Effect of dividends

For information, 10% of Freeport's shares which are part of the Papua Regional Government will indirectly be accommodated in joint ventures formed by Inalum and the Regional Government, namely PT Indonesia Papua Metal and Mineral (IPMM). 

     The scheme, of 100% shares of Freeport Indonesia, is 48.8% owned by Freeport-Mc.Moran Inc (FCX), and 51.23% by Inalum. Of the majority of the shares, the lnalum holds 262% of the shares and 25% is held by the IPMM.

Of the 25% shares owned by IPPM, 60% are owned and 40% are owned by BU MD Papua, which when converted is equivalent to 10% of Freeport's shares. Director of IPMM Ricky Gunawan said, there was no time limit for this BUMD to be formed. It's just that he ensures that the BUMD must be in place before Freeport's dividend distribution.

Because the existence of BUMD is a requirement so that the Papua Regional Government can get dividends from Freeport.

"The dividend requirement is shared, there must be someone who accepts it, who has the right to receive only BUMD," he said.

When asked about the establishment of BUMD, Director of ESDM Ministry of Mineral Development and Business Administration, Yunus Saefulhak, admitted that this was not an Authority of the Ministry of Energy and Mineral Resources. 

    Yunus said that, according to the master agreement between the Indonesian government and Freeport Indonesia, the most secure matters with shares and financial shares were left to the Ministry of Finance and the Ministry of BUMN.

But Yunus said his side still had to get a report on the establishment of BUMD.

"There is no (notification), now it is in the process," he said.

The Ministry of BUMN's Deputy for Mining, Strategic Industry and Media, Fajar Harry Sampurno also hasn't answered confirm KONTAN.

Freeport Export Activities Still Stopped

Copper concentrate export activities, PT Freeport Indonesia, have ended for the past two weeks, precisely on February 15, 2019. However, until now the Ministry of Energy and Mineral Resources (ESDM) has not yet provided recommendations on copper concentrate exports.

     Freeport Indonesia's Corporate Communication Vice President, Riza Pratama, said Freeport had not received an export recommendation from the ESDM Ministry. But he ensured that the cessation of export activities did not disrupt the operational performance of this company.



The reason is that the storage warehouse is still sufficient to accommodate the production and Freeport Indonesia can still supply to PT Smelting, Gresik, for mining and processing.

"So far it has not been disturbed. It depends on the warehouse, and production. We can still deliver to Gresik East Java Indonesia," he said.
Director of ESDM Ministry of Mineral Development and Business, Yunus Saefulhak, said that Freeport Indonesia's export recommendations are still being evaluated.

Inalum Masih Tunggu BUMD Papua Terbentuk


Inalum minta porsi saham Pemprov Papua dan Pemkab Mimika harus sesuai perjanjian Awal

Dua bulan berlalu PT Indonesia Asahan Aluminium (Inalum) mengambil alih 51,23% saham PT Freeport Indonesia. Namun jatah Pemerintah Daerah (pemda) sebesar 10% belum juga diputuskan. Hal tersebut lantaran Pemda Papua (Pemerintah Provinsi Papua dan Pemkab Mimika) belum membentuk Badan Usaha Milik Daerah (BUMD) sebagai pengelola saham tersebut.

Sesuai kesepakatan awal, dari jatah 10% saham Freeport yang akan diberikan Inalum, Pemerintah Provinsi (Pemprov) Papua mendapatkan 30% dan Pemerintah Kabupaten (Pemkab) Mimika mendapatkan bagian 70%. Nah, informasi yang didapat KONTAN, Pemprov Papua yang dipimpin Lukas Enembe itu meminta agar bagian untuk Pemprov Papua dinaikkan.

Head of Corporate Communication lnalum, Rendi A Witular bilang, pembentukan BUMD itu masih dibahas oleh Pemprov Papua dan Pemkab Mimika. Di mana pembentukan BUMD tersebut menjadi ranah Pemda Papua. Alhasil, manajemen Inalum masih menunggu hasil dari pembahasan tersebut. 

"Bolanya ada di mereka (Pemda Papua). Kami masih menunggu hasil perundingan pemprov dan pemkab terkait pembentukan BUMD,“ kata Rendy
kepada KONTAN.

Hanya saja, dia enggan menjelaskan secara mendetail apa poin yang masih dibahas terkait pembentukan BUMD ini. "Yang jelas, bagian saham masih harus sesuai dengan perjanjian awal," tegas dia.

Namun, saat dikonfirmasi terkait dengan pembentukan BUMD dan terkait permintaan naiknya bagian saham, Gubernur Papua Lukas Enembe
enggan menjawab. 

Pengaruh dividen

Sebagai informasi, sebesar 10% saham Freeport yang menjadi bagian Pemda Papua secara tidak langsung akan ditampung dalam perusahaan patungan yang dibentuk Inalum dan Pemda, yakni PT Indonesia Papua Metal dan Mineral (IPMM). Skemanya, dari 100% saham Freeport Indonesia, sebesar 48,8% saham dimiliki Freeport-Mc.Moran Inc (FCX), dan 51,23% oleh Inalum. Dari mayoritas saham itu, lnalum memegang langsung sebesar 262% Saham dan sebesar 25% dipegang oleh IPMM.

Dari 25% saham yang dimiliki IPPM tersebut, 60%-nya dimiliki lnaum dan 40%nya dimiliki BU MD Papua, yang ketika dikonversi setara dengan 10% saham Freeport. Direktur IPMM Ricky Gunawan mengatakan, belum ada batas waktu kapan BUMD ini harus terbentuk. Hanya saja, ia memastikan BUMD harus sudah ada sebelum pembagian deviden Freeport.

Pasalnya, keberadaan BUMD menjadi syarat agar Pemda Papua bisa mendapatkan dividen dari Freeport.

"Syarat dividen dibagi harus ada pihak yang menerimanya, yang berhak menerima hanya BUMD," ujar dia.

Saat ditanya mengenai pembentukan BUMD, Direktur Pembinaan dan Pengusahaan Mineral Kementerian ESDM Yunus Saefulhak mengaku hal tersebut tidak menjadi Wewenang Kementerian ESDM. Yunus bilang, sesuai perjanjian induk antara pemerintah Indonesia dan Freeport Indonesia, hal-hal yang terkail dengan porsi saham dan finansial diserahkan kepada Kementerian Keuangan dan Kementerian BUMN.

Namun Yunus mengatakan pihaknya tetap mesti mendapatkan laporan atas pembentukan BUMD. 

"Belum ada (pemberitahuan), sekarang sedang proses,” kata dia.

Deputi Bidang Pertambangan, lndustri Strategis dan Media Kementerian BUMN, Fajar Harry Sampurno juga belum menjawab
konfirmasi KONTAN.

Kegiatan Ekspor Freeport Masih Berhenti 


Kegiatan ekspor konsentrat tembaga, PT Freeport Indonesia sudah berakhir selama dua minggu yang lalu, tepatnya pada 15 Februari 2019. Namun, sampai saat ini Kementerian Energi dan Sumber Daya Mineral (ESDM) belum juga memberikan rekomendasi ekspor konsentrat tembaga. 

      Vice President Corporate Communication Freeport Indonesia, Riza Pratama mengatakan, Freeport belum mendapatkan rekomendasi ekspor dari Kementerian ESDM. Namun dia memastikan, terhentinya kegiatan ekspor tidak mengganggu kinerja operasional perusahaan ini.

Pasalnya, gudang penyimpanan masih mencukupi untuk menampung hasil produksi dan Freeport Indonesia pun masih bisa memasok ke PT Smelting, Gresik, untuk pemumian dan pengolahan.

"Sejauh ini belum terganggu Tergantung dari gudang, dan produksi. Kami masih bisa melakukan pengiriman ke Gresik," kata dia.

Direktur Pembinaan dan Pengusahaan Mineral Kementerian ESDM Yunus Saefulhak bilang, rekomendasi ekspor Freeport Indonesia masih dievaluasi.
