Government Share 9.36% in Freeport Transferred to Inalum

The government currently has only 9.36% of PT Freeport Indonesia's shares. All PTFI shares owned by the government will be transferred to PT Indonesia Asahan Aluminum aka Inalum. 9.36% transfer of PTFI's shares to Inalum in line with the establishment of holding SOE mines.
Inalum oversees three other state-owned mining companies, PT Timah Tbk (TINS), PT Aneka Tambang Tbk (Antam / ANTM) and PT Bukit Asam Tbk (PTBA).
"The shares of 9.36% are being bombed into the holding mines," said Deputy Minister of Mining, Strategic Industries and Media Enterprise SOE Minister Harry Sampurno in a press conference at the Ministry of SOEs, Central Jakarta, Friday (24/11).
PTFI shares divestment up to 51% is done through holding of SOE mines. The remaining shares to be taken about 41.54%, 10% of which will be given to the Provincial Government and District Government.
"We want 51% direct that later 40% and then the rest later technical," said Harry.
Regarding the technical purchase of PTFI shares through Special Purpose Vehicle (SPV) until BPJS Employment is still being discussed and no further decision has been made. Funding to buy the remaining 41.64% of PTFI's shares if necessary will also involve funding from national banks.
"How there is SPV BPJS there in there is no structure that is ascertained because it is still continuing negotiations. Like funding
enough of equity holding enough, if not enough loans to the bank, "said Harry.
Forms Mine Holding
Meanwhile, the formation of holding BUMN Tambang seadng towards the finalization process in the Ministry of SOEs. This new holding approval process will be brought to the Extraordinary General Meeting of Shareholders (EGM), November 29, 2017.
That way, the holding headed by PT Inalum is officially formed next month. Inalum also officially oversees PT Bukit Asam Tbk, PT Aneka Tambang Tbk, and PT Timah Tbk.
Antam Director Arie Prabowo Ariotedjo said the GMS was held after the administration process including the inbreng certificate or the signature of the transfer of government assets to Inalum was completed.
"Effective holding after Nov. 29 after the signing of the Minister of State-Owned Enterprises (BUMN), the target of Monday or tomorrow," he said in the same place, Ministry of SOEs, Jakarta.
Arie said the government currently holds a majority stake in the three BUMN Tambang, namely ANTM 65 percent, PTBA 65.02 percent, and TINS 65 percent. Majority shares owned by the government in the three SOEs were transferred to PT Inalum which is 100% owned by the state.
"Essentially, initially Antam, Inalum, Bukit Asam, Freeport, Timah is owned by the Indonesian government with a composition that is 100 percent state property Inalum," he said.
Still Subject to SOE Rules
The establishment of a mine SOE holding becomes a wild issue. Many negative perceptions arise, such as state-owned lien government until the government's loss of power over mining companies whose state-owned enterprises have faded.
Indeed, PT Timah Tbk (TINS), PT Aneka Tambang Tbk (ANTM) and PT Bukit Asam Tbk (PTBA) will be ex-state-owned as all government shares are transferred to PT Inalum as Holding BUMN Tambang. That's the point of confusion.
BUMN observer who also once Secretary of the Ministry of SOEs Said Didu explained, although the status of SOEs faded, the three former SOEs are still subject to the rules of SOEs. Because the government still holds a series A share or two color stock.
"The red and white stock owned by the government directly has veto rights against the GMS decision. So in fact despite changing the status of a subsidiary company management remains the same as state-owned, "he said some time ago.
Referring to Government Regulation (PP) No. 72 of 2016, Antam, Tin and PTBA will be treated equally with state-owned companies, because the government still holds bilingual stock.
They also still get government assignments and do public services as SOEs. Then also still get special policies of the state or government, including in the management of resources with certain treatment as applied to SOEs.
"That with the changing status of state-owned mining companies to non-SOEs will lose their privileges, this is not true. Therefore, with the government's affirmation in Government Regulation no. 72/2016 that the former state-owned companies treated the same with SOEs then the right is not lost, "he added.

Saham Pemerintah 9,36% di Freeport Dialihkan ke Inalum
Pemerintah saat ini hanya memiliki 9,36% saham PT Freeport Indonesia. Seluruh saham PTFI yang dimiliki pemerintah akan dialihkan ke PT Indonesia Asahan Aluminium alias Inalum. Pengalihan 9,36% saham PTFI ke Inalum seiring dengan dibentuknya holding BUMN tambang.
Inalum membawahi tiga BUMN tambang lainnya, yaitu PT Timah Tbk (TINS), PT Aneka Tambang Tbk (Antam/ANTM) dan PT Bukit Asam Tbk (PTBA).
“Saham 9,36% diinbrengkan ke holding tambang,” kata Deputi Bidang Usaha Pertambangan, Industri Strategis dan Media Kementerian BUMN Fajar Harry Sampurno dalam jumpa pers di Kementerian BUMN, Jakarta Pusat, Jumat (24/11).
Selanjutnya divestasi saham PTFI hingga 51% dilakukan melalui holding BUMN tambang. Sisa saham yang akan diambil sekitar 41,54%, 10%-nya diberikan ke Pemerintah Provinsi dan Pemerintah Kabupaten.
“Kita maunya langsung 51% bahwa nanti kemudian 40% kemudian sisanya belakangan teknisnya,” ujar Harry.
Mengenai teknis pembelian saham PTFI melalui Special Purpose Vehicle (SPV) hingga BPJS Ketenagakerjaan juga masih terus dibahas dan belum ada keputusan lebih lanjut. Pendanaan untuk membeli sisa 41,64% saham PTFI jika diperlukan juga nantinya melibatkan pendanaan dari perbankan nasional.
“Bagaimana ada SPV ada BPJS di situ belum ada struktur yang dipastikan karena masih rundingan terus. Seumpama pendanaan
cukup dari ekuitas holding cukup, kalau tidak cukup ada pinjaman kepada bank,” tutur Harry.
Bentuk Holding Tambang
Sementara itu, pembentukan holding BUMN Tambang seadng menuju proses finalisasi di Kementerian BUMN. Proses persetujuan holding baru ini akan dibawa ke Rapat Umum Pemegang Saham Luar Biasa (RUPSLB), 29 November 2017.
Dengan begitu, holding yang dikepalai PT Inalum ini resmi terbentuk bulan depan. Inalum juga resmi membawahi PT Bukit Asam Tbk , PT Aneka Tambang Tbk, dan PT Timah Tbk.
Direktur Antam Arie Prabowo Ariotedjo mengatakan RUPS digelar setelah proses administrasi termasuk akta inbreng atau tanda tangan pengalihan aset pemerintah ke Inalum rampung.

ditempat yang sama, Kementerian BUMN, Jakarta.
Arie menuturkan, pemerintah saat ini memegang saham mayoritas di ketiga BUMN Tambang tersebut, yaitu ANTM 65 persen, PTBA 65,02 persen, dan TINS 65 persen. Saham mayoritas milik pemerintah di ketiga BUMN tersebut dialihkan ke PT Inalum
yang 100 persen sahamnya dimiliki negara.
“lntinya, awalnya Antam, Inalum, Bukit Asam, Freeport, Timah dimiliki oleh pemerintah Indonesia dengan komposisi yang 100 persen milik negara itu Inalum,” tutur dia.
Masih Tunduk Aturan BUMN
Pembentukan holding BUMN tambang seakan menjadi isu liar. Banyak timbul persepsi negatif, seperti pemerintah gadai BUMN hingga hilangnya kuasa pemerintah atas perusahaan tambang yang status BUMN-nya luntur.
Memang nantinya PT Timah Tbk (TINS), PT Aneka Tambang Tbk (ANTM) dan PT Bukit Asam Tbk (PTBA) akan berstatus eks BUMN lantaran seluruh saham pemerintah dialihkan ke PT Inalum sebagai Holding BUMN Tambang. Hal itulah menjadi titik kerancuan.
Pengamat BUMN yang juga pernah menjadi Sekretaris Kementerian BUMN Said Didu menjelaskan, meski status BUMN luntur, ketiga eks BUMN itu masih tunduk dalam aturan BUMN. Sebab pemerintah masih memegang saham seri A atau saham dwi warna.
“Saham merah putih yang dimiliki langsung pemerintah yang memiliki hak veto terhadap keputusan RUPS. Sehingga sebenarnya walau berubah status menjadi anak perusahaan pengelolannya tetap sama seperti BUMN,” tuturnya beberapa waktu lalu.
Mengacu pada Peraturan Pemerintah (PP) Nomor 72 Tahun 2016, Antam, Timah dan PTBA nantinya akan diperlakukan setara dengan BUMN, sebab pemerintah masih memegang saham dwi warna.
Mereka juga masih tetap mendapatkan penugasan pemerintah dan melakukan pelayanan umum selayaknya BUMN. Lalu juga masih mendapatkan kebijakan khusus negara atau pemerintah, termasuk dalam pengelolaan sumber daya dengan perlakuan tertentu sebagaimana diberlakukan bagi BUMN.
“Bahwa dengan berubahnya status perusahaan tambang BUMN menjadi non-BUMN maka akan kehilangan hak-hak istimewa, ini tidak benar. Sebab, dengan penegasan pemerintah dalam Peraturan Pemerinta No. 72/2016 bahwa anak perusahaan eks BUMN perlakuannya sama dengan BUMN maka hak tersebut tidak hilang,” imbuhnya.
