Foreign Banks Still Doubt Supports Freeport Acquisition





The Bank will fund Inalum to acquire Freeport if the environmental problem is completed

PT Indonesia Asahan Aluminum's determination (Inalum) to take over 51% of PT Freeport Indonesia (Freeport) shares collides with funding. The syndication of eight foreign banks that will disburse loans to Inalum is still in doubt. The root of the problem, the findings of the Supreme Audit Agency (BPK) stated that there were environmental losses of up to Rp 185 trillion due to Freeport mining activities.

Inalum President Director Budi Gunadi Sadikin did not dismiss environmental issues as being able to hamper Freeport's acquisition of funds. Because, after the signing of the sales purchase agreement (SPA), Inalum must then pay US $ 3.85 billion. The funding source is a foreign banking syndicated loan. If environmental issues are not resolved, the banks are reluctant to withdraw their loans.

"It is impossible for money to come out if this issue is not completed. We have difficulty obtaining funding from international institutions," Budi said before parliamentarians.

He said, actually environmental issues have been taken into account in the agreement. As a result, if later Inalum already holds the majority of the shares, this BUMN Mining Holding is not affected unless the current share ownership is 9.36%.

"The environmental impact has been taken into account from our due diligence. The one responsible is Freeport Indonesia, not Inalum as a buyer," Budi added.

PT Freeport Indonesia Executive Director Tony Wenas assessed that the Rp 185 trillion figure was not an audit finding recommended to Freeport. That number also still has to be consulted with the Ministry of Environment and Forestry (KLHK). The Freeport received eight recommendations from the BPK. Tony claims, six of them have been completed and the rest are still in the process of completion.

While from KLHK, there are 48 points, of which 30 are the instructions, 24 of them have been completed and the remaining six are in the process of completion. According to Tony, Freeport is still consulting with KLHK to solve this problem.

"This calculation still needs to be discussed again with KLHK, until now we are still consulting," Toni said.

In addition to environmental issues, according to Budi, the divestment settlement is still awaiting administrative completeness in the form of licensing. Including requirements from regulators a number of countries that must be met by Freeport McMoran Inc (FCX), Freeport's parent. Also a Special Mining Business License (IUPK) from the Ministry of Energy and Mineral Resources.

Tekad PT Indonesia Asahan Aluminium Persero (Inalum) untuk mengambilalih 51% saham PT Freeport Indonesia (Freeport) terbentur pendanaan. Sindikasi delapan perbankan asing yang akan mengucurkan pinjaman ke Inalum masih ragu. Akar masalahnya, hasil temuan Badan Pemeriksa Keuangan (BPK) yang menyatakan adanya kerugian lingkungan hingga Rp 185 triliun akibat aktivitas penambangan Freeport. 

“Ekosistem yang rusak jika direhabilitasi, itu mencapai Rp 185 triliun. Lazimnya kalau akuisisi ada due diligence, apakah faktor lingkungan sudah dipertimbangkan? Jadi beban siapa?” kata Ketua Komisi VII Gus Irawan Pasaribu dalam Rapat Dengar Pendapat (RDP) di Komisi VII di Gedung Parlemen, Rabu (17/10) lalu.

Direktur Utama Inalum Budi Gunadi Sadikin tidak menampik isu lingkungan bisa menghambat pendanaan akuisisi Freeport. Pasalnya, setelah penandatanganan sales purchase agreement (SPA), Inalum selanjutnya harus membayar US$ 3,85 miliar. Adapun sumber pendanaannya adalah pinjaman sindikasi perbankan asing.  Apabila isu lingkungan tidak selesai, bank-bank tersebut enggan mencairkan pinjamannya. 

"Tidak mungkin uang keluar jika isu ini tidak selesai. Kami sulit mendapatkan pendanaan dari institusi internasional,” ujar Budi di hadapan anggota parlemen.

Dia bilang, sejatinya persoalan lingkungan sudah diperhitungkan dalam perjanjian. Alhasil, apabila nanti Inalum sudah memegang mayoritas saham, Holding Pertambangan BUMN ini tidak terkena imbasnya kecuali atas kepemilikan saham saat ini 9,36%.

"Dampak lingkungan sudah diperhitungkan dari due diligence kami. Yang bertanggung jawab adalah Freeport Indonesia, bukan Inalum sebagai pembeli," imbuh Budi.

Direktur Eksekutif PT Freeport Indonesia Tony Wenas menilai, angka Rp 185 triliun itu bukan temuan audit yang direkomendasikan kepada Freeport. Angka itu pun masih harus dikonsultasikan dengan Kementerian Lingkungan Hidup dan Kehutanan (KLHK). Adapun Freeport mendapatkan delapan rekomendasi dari BPK. Tony mengklaim, enam di antaranya sudah selesai dan sisanya masih proses penyelesaian.

Sedangkan dari KLHK, ada 48 poin, di mana dari 30 yang menjadi instruksi, sebanyak 24 di antaranya sudah selesai dan enam sisanya dalam proses penyelesaian. Menurut Tony, Freeport masih berkonsultasi dengan KLHK untuk menyelesaikan persoalan ini.

"Perhitungan ini masih perlu didiskusikan lagi dengan KLHK, sampai saat ini kami masih konsultasi," ujar Toni.

Selain persoalan Iingkungan, menurut Budi, penyelesaian divestasi ini masih menunggu kelengkapan administrasi berupa perizinan. Termasuk persyaratan dari regulator sejumlah negara yang harus dipenuhi Freeport McMoran Inc (FCX), induk Freeport. Juga Izin Usaha Pertambangan Khusus (IUPK) dari Kementerian ESDM.
