Freeport IUPK Is Published After Transaction Divestment Is Completed

The Ministry of Energy and Mineral Resources (ESDM) issued a definitive Special Mining Business License (IUPK) for PT Freeport Indonesia after the investment transaction was completed. Payment of US $ 3.85 billion was made by PT Inalum (Persero) which will hold 51% of Freeport Indonesia's shares. With the issuance of the definitive IUPK, negotiations between Freeport and the government ended.
Director of ESDM Ministry of Mineral Business Development Yunus Saefulhak said the issuance of IUPK could be done at any time. With a note, Inalum has completed the share divestment transaction.
"Almost at the same time, but still divest first. "The difference is for a while, but maybe even a matter of days can even count out of the IUPK," Yunus said in Jakarta.

Separately, Fajar Harry Sampurno, Deputy of Mining, Strategic Industry and BUMN Ministry of Media explained that the government had completed the attachment details that would be included in the IUPK. In fact, one of the requirements for IUPK namely the recommendation from the Ministry of Environment and Forestry (KLHK) had also been issued. . This means, he continued, the divestment transaction could be immediately carried out by Inalum.
"If the government has finished (recommendation) KLHK has already left," he explained.
The government has accommodated Freeport's wishes regarding investment stability and legal certainty. There are two legal protections that provide business certainty for Freeport. First, Government Regulation Number 37 of 2018 concerning the Treatment of Taxation and or Non-Tax State Revenues in the Mineral and Coal Mining Business Field.

The regulation signed by President Joko Widodo in early August contained provisions regarding state revenues for mining companies that turned into IUPK. The provisions in this PP constitute the government's commitment to provide investment stability.
Then in the near future there will be a revision of Government Regulation (PP) 23 of 2010 concerning the Implementation of Mineral and Coal Mining Business Activities. One of the clauses in the revised text contains provisions for the extension of CoW and Coal Mining Concession Work Agreement (PKP2B) into Production Operation IUPK without auction.
The extension was given after the end of the KK and PKP2B by considering increasing state revenues. Freeport is willing to release the Contract of Work (KK) and switch to IUPK. It's just that the mining company from the United States wants the certainty of investment in the CoW to be included in the IUPK. Therefore negotiations with the government have been rolling since February 2017. There are four negotiation points, namely the extension of operations until 2041, the construction of smelters, 51% divestment, and increased state revenues.

Kementerian Energi Sumber Daya Mineral (ESDM) menerbitkan Izin Usaha Pertambangan Khusus (IUPK) definitif bagi PT Freeport Indonesia setelah transaksi diyestasi selesai. Pembayaran US$ 3,85 miliar dilakukan oleh PT Inalum (Persero) yang akan memegang 51% saham Freeport Indonesia. Dengan diterbitkannya IUPK definitif itu maka perundingan antara Freeport dan pemerintah berakhir.
Direktur Pembinaan Pengusahaan Mineral Kementerian ESDM Yunus Saefulhak mengatakan, penerbitan IUPK bisa kapan saja dilakukan. Dengan catatan, Inalum sudah menyelesaikan transaksi divestasi saham.
“Nanti hampir bersamaan, tapi tetap divestasi dulu. Bedanya sebentar, tapi mungkin hitungan sehari saja bahkan bisa hitungan jam bisa keluar IUPKnya,”
kata Yunus di Jakarta.
Secara terpisah, Deputi Bidang Usaha Pertambangan, Industri Strategis, dan Media Kementerian BUMN Fajar Harry Sampurno menerangkan, pemerintah sudah menyelesaikan detil lampiran yang akan dicantumkan dalam IUPK Bahkan, salah satu persyaratan IUPK yakni rekomendasi dari Kementerian Lingkungan Hidup dan Kehutanan (KLHK) pun sudah diterbitkan. Artinya, lanjutnya, transaksi divestasi bisa segera dilaksanakan oleh Inalum.
“Kalau pemerintah sudah selesai (rekomendasi) KLHK sudah keluar,” jelasnya.
Pemerintah sudah mengakomodir keinginan Freeport terkait stabilitas investasi dan kepastian hukum. Ada dua perlindungan hukum yang memberi kepastian usaha bagi Freeport. Pertama, Peraturan Pemerintah Nomor 37 Tahun 2018 tentang Perlakuan Perpajakan dan Atau Penerimaan Negara Bukan Pajak di Bidang Usaha Pertambangan Mineral dan Batubara.
Regulasi yang ditandatangani Presiden Joko Widodo pada awal Agustus itu memuat ketentuan mengenai penerimaan negara untuk perusahaan tambang yang beralih menjadi IUPK Ketentuan di dalam PP ini merupakan komitmen pemerintah dalam memberikan stabilitas investasi.
Kemudian dalam waktu dekat akan diterbitkan revisi Peraturan Pemerintah (PP) 23 tahun 2010 tentang Pelaksanaan Kegiatan Usaha Pertambangan Mineral dan Batubara. Salah satu klausul dalam naskah revisi memuat ketentuan perpanjangan KK dan Perjanjian Karya Pengusahaan Pertambangan Batubara (PKP2B) menjadi IUPK Operasi Produksi tanpa melalui lelang.
Perpanjangan itu diberikan setelah berakhirnya KK dan PKP2B dengan mempertimbangkan peningkatan penerimaan negara. Freeport bersedia melepas Kontrak Karya (KK) dan beralih menjadi IUPK. Hanya saja perusahaan tambang asal Amerika Serikat itu menginginkan kepastian investasi dalam KK dimasukkan dalam IUPK. Oleh sebab itu negosiasi dengan pemerintah bergulir sejak Februari 2017 silam. Ada empat poin negoisasi yakni perpanjangan operasi hingga 2041, pembangunan smelter, divestasi 51%, dan peningkatan penerimaan negara.
