Requirements for Local Government to Obtain Freeport Dividend



The Papuan regional government has not yet formed a Regional MiIik (BUMD), which later holds 10% of PT Freeport Indonesia's shares. If the BUMD has not yet been formed in March - April 2019, then the share of the 10% dividend distribution cannot yet be received by the Papua Government, in this is the Provincial Government of Papua and the Mimika Regency Government.


Corporate Secretary of PT Indonesia Asahan Aluminum (Inalum) Ricky Gunawan, said the existence of BUMD is a requirement for the Papua Regional Government to get dividends from the management of Freeport Indonesia's Grasberg mine.

"Dividend requirements must be accepted by the party. The entity that is entitled to receive is BUMD. The time for dividend distribution after the GMS, follows Freeport Indonesia, usually in March-April," said Ricky who also serves as Director of PT Indonesia Papua Metal and Mineral (IPPM).



Because BUMD is not immediately formed, Inalum has not officially handed over 10% of the shares to the Papua Regional Government. Ricky said, currently the establishment of BUMD is being discussed by the Papua Provincial Government and Mimika Regency Government. But Inalum still cannot confirm when the BUMD was formed.

There is not even a standard target when the BUMD was formed. However, regional-owned enterprises must have been established before dividend distribution.

"Nothing (deadline}, we want it as soon as possible, Papuans will definitely want it as soon as possible, because there is a connection with dividends," Ricky said.

IPPM is a joint venture or joint venture between Inalum and Papua BUMD which will indirectly accommodate a 10% stake in the region. The scheme, of 100% shares in Freeport Indonesia, is 48.8% owned by Freeport-McMoRan Inc (FCX) and 51.2% owned by Inalum.

Of the majority of shares, Inalum holds 262% of the shares and the remaining 25% is held by IPPM. Well, of the 25% shares owned by IPPM, 60% are controlled by Inalum and 40% are owned by Papua BUMD, which when converted will be equivalent to 10% of the total shares of Freeport Indonesia.

Referring to the share distribution scheme from Inalum, 40% of the BUMD shares in the IPMM are owned by the Mimika Regency Government and 30% are owned by the Papua Provincial Government. Inalum's Finance Director, Orias Petrus Moedak said, Inalum would ensure to lock in 10% of the shares of the area so that it would not be lost or switch hands to the private sector. In the clause, the 10% portion of the shares may only be sold to Inalum.

Syarat Pemda Mendapatkan Dividen Freeport


Pemerintah daerah Papua hingga kemarin belum membentuk Badan Usaha MiIik Daerah (BUMD), yang kelak memegang 10% saham PT Freeport Indonesia. Apabila BUMD belum juga terbentuk pada Maret - April 2019, maka jatah pembagian dividen 10% saham belum bisa diterima Pemda Papua, dalam
hal ini Pemerintah Provinsi (Pemprov) Papua maupun Pemerintah Kabupaten (Pemkab) Mimika.

Sekretaris Perusahaan PT Indonesia Asahan Aluminium (Inalum) Ricky Gunawan, mengatakan keberadaan BUMD menjadi syarat bagi Pemda Papua untuk mendapatkan dividen dari pengelolaan tambang Grasberg Freeport Indonesia.

"Syarat dividen harus ada pihak yang menerimanya. Entitas yang berhak menerima adalah BUMD. Waktu pembagian dividen setelah RUPS, mengikuti Freeport Indonesia, biasanya pada Maret-April," kata Ricky yang juga menjadi menjabat Direktur PT Indonesia Papua Metal dan Mineral (IPPM).

Karena BUMD tidak segera terbentuk, Inalum belum secara resmi menyerahkan 10% saham kepada Pemda Papua. Ricky bilang, saat ini pembentukan BUMD sedang dibahas oleh Pemprov Papua dan Pemkab Mimika. Namun Inalum masih belum bisa memastikan kapan BUMD tersebut terbentuk.

Bahkan tidak ada patokan target kapan pembentukan BUMD tadi. Namun, badan usaha milik daerah harus sudah berdiri sebelum pembagian dividen. 

"Tidak ada (tenggat waktu}, Kami ingin secepatnya, orang Papua pun pasti ingin secepatnya, karena ada hubungan dengan dividen," ujar Ricky.

IPPM itu merupakan perusahaan patungan atau joint venture antara Inalum dan BUMD Papua yang akan menampung secara tidak Iangsung jatah 10% saham untuk daerah. Skemanya, dari 100% saham Freeport Indonesia, sebesar 48,8% saham dimiliki Freeport-McMoRan Inc (FCX) dan 51,2% milik Inalum.

Dari mayoritas saham itu, Inalum memegang langsung 262% saham dan sisanya besar 25% dipegang IPPM. Nah, dari 25% saham yang dimiliki IPPM, sebesar 60% dikuasai Inalum dan 40% milik BUMD Papua, yang ketika dikonversi akan setara 10% dari total saham Freeport Indonesia. 

Mengacu skema pembagian saham dari Inalum, sebesar 40% saham BUMD di IPMM itu, sebesar 70%-nya dimiliki Pemkab Mimika dan 30% dikuasai Pemprov Papua. Direktur Keuangan Inalum, Orias Petrus Moedak menyebutkan, Inalum akan memastikan untuk mengunci 10% saham milik daerah tersebut sehingga tidak hilang atau beralih tangan ke pihak swasta. Dalam klausulnya, porsi 10% saham itu hanya boleh dijual kepada Inalum.
